Forming an LLC in Texas
Prior to filing your limited liability company (LLC), it's essential to be familiar with the specific steps and requirements involved. Texas, like other states, has certain prerequisites that must be met before proceeding with the process.
One requirement is that the name of the LLC must include either "Limited Liability Company" or "Limited Company," and you have the option to abbreviate it as "L.L.C.," "L.C.," or "Ltd. Co." Additionally, "Limited" and "Company" can be abbreviated as "Ltd." and "Co.," respectively. Moreover, the LLC's name should not be the same as an existing business entity in the state; otherwise, the application will be rejected.
Another requirement is that all LLCs operating in Texas must have a registered agent, who can be either an individual Texan or a registered agent service with permission to operate in the state. The registered agent must accept paperwork on behalf of the business in the event of a lawsuit and must have a physical address within the state, not a P.O. box. Importantly, the LLC cannot act as its own registered agent, and obtaining a reputable agent can cost between $100 and $300 annually. It's essential to conduct thorough research to ensure the agent's service covers all the necessary bases.
Name Your LLC
First and foremost, you need to name your business. As stated above, the name should include Limited Liability Company, Ltd. Co., L.L.C, L.C., or Limited Company. Also, you must avoid using official terms like Treasury, State Department, FBI, CIA, and others. You should also steer clear of names that resemble existing businesses, especially those in your industry or locality, as it can lead to trademark issues and consumer confusion. If you wish to use terms like bank, university, attorney, or doctor, ensure that you meet Texas State Government requirements for such entities before adding them to your LLC's name.
File the Texas LLC Formation Form With the State
The most important document required to establish your LLC is Form 205, also known as the "Certificate of Formation—Limited Liability Company." This form can be downloaded or completed and submitted electronically through the Secretary of State's website. The filing fee for this form is $300.
If your LLC was established outside of Texas and wishes to operate within the state, you must file Form 304, an "Application for Registration of a Foreign Limited Liability Company." This form can be accessed through the Secretary of State's website as well and has a filing fee of $750.
